Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and NewbieStudio Co., Ltd. ("Company", "we"), the operator of the Braido service at braido.ai and the Braido desktop application (the "Service"). By creating an account, downloading, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Service — the Braido desktop app, web dashboard, and associated server, relay, and provider-gateway infrastructure.
  • Account — the account you create to access the Service, identified by your email.
  • Credits — the prepaid unit metering your AI usage. Internal peg: 1,000 Credits = US$1.00.
  • Provider — a third-party AI model provider made available through our server-side gateway.
  • Plan — a subscription tier (Free, Plus, Pro, Max, Team).

2. The Service

Braido is a local-first AI development tool. The desktop app runs AI coding agents on your own machine, where your source code, workspace files, and conversation history are stored. To run AI models, the Service routes your prompts and necessary context through our server-side provider gateway to the selected Provider, metered in Credits. We make commercially reasonable efforts to keep the Service available but do not guarantee uninterrupted operation; features, models, and Plans may change.

3. Eligibility and Account

You must be at least 14 years old, or have a legal guardian's consent where you are a minor. Authentication is passwordless via a one-time code (OTP) sent to your email; you are responsible for your email account, your devices, and all activity under your Account. You agree to provide accurate information. We may suspend or terminate Accounts that provide false information or that abuse the Service (circumventing limits, automated account/credit farming, or sharing free-credit grants across throwaway addresses). You may register multiple devices and revoke any device from your settings.

4. Credits, Plans, and Billing

Credits. AI usage is metered in Credits, depending on the model, tokens processed, and plan markup, as disclosed in your usage dashboard (peg: 1,000 Credits = US$1.00).

Expiry. Each Credit expires six (6) months from grant or purchase. Expired Credits are removed and non-refundable.

Consumption order. Unless otherwise shown on your Credits page, paid Credits (purchased and subscription) are consumed before free/promotional Credits, and within each source the Credits closest to expiry are consumed first.

Plans. Plans include a monthly Credit allocation that does not roll over. Prices, included Credits, and limits are shown on the Pricing page and may change with notice. You may also purchase one-time Credit packs, which may include non-refundable promotional bonus Credits.

Payment processor. All payments are processed by Paddle.com Market Limited, the reseller and Merchant of Record. Paddle is the seller of record on your receipt and handles payment and the collection/remittance of applicable taxes. Your statement may show a charge from "Paddle". Paddle's buyer terms also apply.

Subscriptions. Paid Plans are billed in advance monthly and renew automatically until cancelled. Cancellation takes effect at the end of the current period, and you retain access until then.

Refunds are governed by our Refund Policy, which forms part of these Terms.

5. Acceptable Use

You may not use the Service to: generate or distribute illegal or infringing content; violate any Provider's usage policies or circumvent safety controls, rate limits, or the Credit/metering system; resell or redistribute AI model capacity as a service; reverse engineer or decompile the application except as permitted by mandatory law; interfere with or overload the Service or gain unauthorized access to other users' data; or build a competing product by copying its non-public interfaces or design. We may suspend or terminate access for violations.

6. AI Output and Your Responsibility

AI outputs are generated automatically and may be inaccurate, incomplete, or unsafe. You are solely responsible for reviewing, testing, and validating any code or content before relying on it or deploying to production. The Service may execute tools, run commands, edit files, and make network calls on your machine subject to its approval controls; you are responsible for the actions you authorize.

7. Intellectual Property

As between you and us, you own your Content, including code generated by AI agents at your direction. The Braido application, website, branding, and software are proprietary to the Company and its licensors; no license is granted beyond using the Service, and you may not redistribute the application. Output from a Provider's model may be subject to that Provider's terms, which you are responsible for following.

8. Third-Party Services

The Service relies on third-party sub-processors (AI Providers, Paddle, email delivery, cloud database and file distribution, web search, and our relay service), described in our Privacy Policy. We are not responsible for the acts or omissions of third parties.

9. Privacy

Your use is governed by our Privacy Policy, incorporated into these Terms. Braido is local-first: your source code, files, and full conversation content stay on your machine and are not collected by us, except that prompts and necessary context are transmitted to the selected Provider to fulfill your requests.

10. Suspension, Termination, Changes

You may stop using the Service and delete your Account at any time. We may suspend or terminate access for breach, where required by law, or to protect the Service or other users, and may discontinue the Service in whole or part with reasonable prior notice where practicable. Unused paid Credits on an involuntary, non-breach termination are handled under the Refund Policy.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, and the accuracy of AI outputs. Nothing here limits warranties that cannot be excluded under mandatory consumer law.

12. Limitation of Liability

To the maximum extent permitted by law, the Company is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of data, profits, or business. Our aggregate liability for any claim shall not exceed the greater of (a) the amount you paid for the Service in the 12 months before the claim, or (b) US$100. These limits do not apply to liability that cannot be limited under mandatory law.

13. Indemnification

You agree to indemnify the Company against claims, damages, and expenses arising from your Content, your use of the Service, or your violation of these Terms or applicable law, to the extent permitted by law.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea. Disputes shall be submitted to the competent Korean courts. As a consumer, you retain any right to bring proceedings in your place of residence and the protections of your local mandatory consumer law. Korean consumers may also seek mediation through the Korea Consumer Agency or the Consumer Dispute Settlement Commission.

15. Changes to These Terms

We may revise these Terms. For material changes we will provide at least 30 days' notice (e.g. by email or in-app) before they take effect. Continued use after the effective date constitutes acceptance; if you disagree, stop using the Service and close your Account before then.
